Formal Milestone 1 Submission Notice
| From | NILEAD INC. (Nguyen Hoang Vu, CEO; vunguyen@nilead.com) |
| To | CASEAN AG SMARTLINK INC., authorized decision makers (Tien Dung Nguyen, CEO) |
| Date of submission | 31 October 2026 |
| Reference | Software Platform Development and Services Agreement (V3), Section 11 (Acceptance); Annex A, A2 Months 1–2 (Discovery, Architecture, Product Design & Initial Development); Annex A6 Month 1 milestone, $3,000 CAD |
| Subject | Submission of Milestone 1 deliverables for acceptance |
1. Submission
NILEAD hereby submits the Milestone 1 deliverables described below for CASEAN's acceptance under Section 11 of the Agreement.
2. Review period and acceptance path
Under Section 11, CASEAN has 10 (ten) business days after submission to accept the deliverables or to give written notice identifying material deficiencies against the acceptance criteria in section 3.
- The review clock starts on the date this notice is delivered by email (or other agreed channel). We still ask CASEAN to confirm the date of receipt; if confirmation arrives later, the parties may agree in writing to treat the confirmed receipt date as day zero instead.
- The deliverables are accepted when CASEAN approves them in writing, or when CASEAN does not identify material deficiencies within the review period.
- If CASEAN identifies material deficiencies in writing, NILEAD will use commercially reasonable efforts to correct verified deficiencies within scope (Section 11).
- New features or changed business requirements are handled through change management (Section 11 and Section 9), not as deficiencies.
If this notice is delivered on 31 October 2026 (a Saturday), the tenth business day, counting Monday 2 November 2026 as day one and excluding weekends, is Friday 13 November 2026. This counts weekends only; any holiday CASEAN observes would move the date, and the parties can agree on that date when confirming receipt.
3. Acceptance criteria for Milestone 1
Annex A (A2) frames the Month 1 success test as: CASEAN can review and approve the target workflows, architecture, data model and high-fidelity prototype, with MVP criteria limited to basic, happy-path workflows and limited edge-case handling. The criteria below apply that test to the delivered materials. A tickable version is in acceptance-checklist.md.
These criteria (C1–C9) are NILEAD's proposed application of Annex A2 to the materials prepared for CASEAN under Work #83. If CASEAN does not consider them the agreed acceptance criteria under Section 11, please say so in writing within the review period so the parties can align before treating silence as acceptance.
| # | Criterion | Delivered artifact |
|---|---|---|
| C1 | Guided path, RFQ → TERMS_AGREED. A new buyer goes from RFQ to agreed terms with one next step shown at a time, using only the starred RFQ fields, without opening Landed Cost, Dossier admin or Reference Data, and without filling vessel, HS or freight. | Prototype (Buyer Home, RFQ, Deal Overview); docs/ia/guided-and-assist.md success test |
| C2 | Ask CASEAN. At a blocker the user can choose "I don't know: ask CASEAN" instead of guessing. | Prototype (Deal Overview); docs/ia/prototype/guide/CONCEPT.md |
| C3 | Sparse data. Price, Incoterm, payment terms, vessel, containers and agent may remain [PENDING]; a supplier can respond to an RFQ without a price. | Prototype (supplier *Respond*, deal *Terms*); ADR-0007 |
| C4 | HITL Assist (concept). A pasted email or chat message yields a PROPOSED / AI draft terms diff; nothing changes until a person accepts. | Prototype (top bar *Assist*); ADR-0006 |
| C5 | Architecture decisions. ADRs 0001–0007 are present; status "accepted" means NILEAD's internal ADR register, not prior CASEAN sign-off of each ADR. | docs/adr/INDEX.md |
| C6 | User roles, workflows and information architecture. IA with product decisions D1–D12, and the role matrix. | docs/ia/information-architecture.md (§8, D1–D12); docs/ia/user-role-matrix.md |
| C7 | Specs baseline. Draft specs for the Phase 1B and 1C modules, which form the Phase 1 backlog and acceptance baseline. Core entities: counterparty/org (identity-and-rbac), product/lot + RFQ + deal/milestone (deal-control-room), document (quality-compliance-vault); verification dossier (trade-intelligence-dossier). Phase 1C concepts: Landed Cost, Trade Sheet, ledger. | specs/INDEX.md |
| C8 | Prototype. An interactive Deal-Control Room prototype with tiered-access, Dossier, Vault, Landed Cost and Trade Sheet UX concepts, plus low-fi wireframes. | docs/ia/prototype/index.html; docs/ia/wireframes/index.html |
| C9 | Legacy and requirements reconciliation. A written summary of what was assessed against Annex A and what was deferred (exclusions / later phases). | legacy-and-requirements.md |
Mapping to Annex A, A2 bullets
| A2 deliverable | Where addressed |
|---|---|
| User roles, primary workflows, and information architecture | C6, C1 |
| Core domain/data model | C7, C5 |
| System architecture and environment plan | C5 (ADR-0001), specs/platform-infrastructure.md |
| High-fidelity Deal-Control Room prototype | C8, C1–C4 |
| UX concepts for tiered access, Dossier, Vault, Landed Cost, Trade Sheet | C8 (concepts only; see section 4) |
| Phase 1 backlog and acceptance baseline | C7, this notice |
| Legacy platform and requirements assessment; requirements reconciliation | legacy-and-requirements.md (summary); outcomes in IA D1–D12 and ADRs |
4. Not acceptance criteria
The following appear in the prototype only as labelled concepts. They are not criteria for this milestone, and a gap in them is not a deficiency under Section 11:
- Landed Cost calculator (Phase 1C; the prototype shows
ESTIMATE_PENDINGand no totals). - HS code and freight "theatre": no HS, freight, insurance or duty figures are provided.
- Dossier admin and verification review workflows.
- Trade Sheet lock as a required step (signing and lock are Phase 1C).
- Payments, escrow, tracking, rankings and risk scores.

6. How to run the walkthrough
Preferred (no install, works for CASEAN remotely): open the published review hub:
https://casean-m1-preview.pages.dev/
From there: interactive prototype, walkthrough deck, this notice, and the acceptance checklist. Use *Demo controls > Reset demo data* before a session. The prototype is a single-browser demo; "two parties" means switching shells at top right.
Facilitator script (browser): https://casean-m1-preview.pages.dev/script.html
Presenter deck: https://casean-m1-preview.pages.dev/walkthrough-deck.html
Repo paths (docs/ia/prototype/, localhost) are for NILEAD development only and are not required for CASEAN review.
NILEAD can also run the walkthrough live with CASEAN's decision makers on request.
7. Requested action from CASEAN
1. Confirm receipt of this notice and its date.
2. Tell us if you would like a walkthrough session, and propose a time.
3. Respond under Section 11 within the review period: written acceptance, or written notice of material deficiencies against the criteria in section 3. The acceptance-checklist.md may be used for either.
8. After acceptance
On acceptance (written approval, or expiry of the review period without a deficiency notice), the next step is the Milestone 1 sign-off record (Work #85) and NILEAD's invoice for the Month 1 milestone of $3,000 CAD per Annex A6, payable under the Agreement's invoicing terms (Section 12). No other amounts are invoiced with this submission.
This notice records the submission of deliverables under the Agreement. It does not amend the Agreement, and it is not legal advice; each party should rely on the Agreement's text for its rights and obligations.
